TAALERI PLC STOCK EXCHANGE RELEASE 11 OCTOBER 2019 AT 3:35 PM (EET)
Taaleri Plc issues EUR 15 million Tier 2 bond
Taaleri Plc issues EUR 15 million Tier 2 notes. The notes mature in ten years and bear a fixed interest rate of 5.0 per cent until 18 October 2024 and then onwards EUR 5-year mid-swap rate plus 5.33 per cent. The terms and conditions of the Notes include a call option after five years from the issuance and the company is also entitled to an early repayment before the call option under certain preconditions provided in the terms and conditions of the Notes.
”The issuance of the notes strengthens Taaleri’s capital adequacy and the proceeds will be used for general corporate purposes. The strong demand for the loan is good evidence of the confidence institutional investors have in our company”, says CEO Robin Lindahl.
The Tier 2 notes also provides the company for the expiry of the permission under article 49(1) of the CRR granted by the Finnish Financial Supervisory Authority valid until 31 December 2020.
The Tier 2 Notes constitute a subordinated debt instrument, which is included in the Tier 2 capital referred to in Article 63 of Regulation (EU) No 575/2013 of the European Parliament and of the Council.
Danske Bank acts as the lead arranger of the Tier 2 Notes, and Hannes Snellman Attorneys Ltd acts as Taaleri’s legal advisor.
Taaleri announced in a stock exchange release on 2 October 2019 that it is considering issuing a Tier-2 bond.
